⚖️Basic obligation of operating company



Operating a company in Hong Kong requires compliance with a series of statutory obligations to ensure legal operation and maintain a good business reputation🌟. Here are some key minimum statutory obligations and Everpro's recommendations: 


Minimum Statutory Obligations 

  1. Company Registration: All companies must register with the Hong Kong Companies Registry and obtain a Certificate of Incorporation. 

  2. Business Registration: Companies must apply for a Business Registration Certificate from the Inland Revenue Department within one month of incorporation and renew it annually or every three years. 

  3. Company Secretary: A company must appoint a company secretary, who can be an individual or a corporate entity, but must be a Hong Kong resident. 

  4. Directors: A company must have at least one director, who can be a local or foreign individual, but must be at least 18 years old. 

  5. Statutory Filings: Companies must regularly file statutory documents with the Companies Registry, such as annual returns and notifications of changes in directors and secretaries. 

  6. Financial Reporting: Companies must prepare annual financial statements and have them audited by a certified public accountant (unless the company is deemed "dormant"). 

  7. Annual General Meeting (AGM): Companies must hold their first AGM within 18 months of incorporation and subsequently hold an AGM every calendar year, with no more than 15 months between each AGM.
